- About us and these Terms

Welcome to Laced! Laced operates for third-party sellers and buyers a peer-to-peer marketplace (the "Marketplace") that allows such third-party sellers to list and sell their items, including luxury trainers and other branded footwear, to such buyers, all on an anonymised basis using our mobile application or website. Our mobile application and website www.laced.com ("Website"), are operated jointly by Laced Europe Ltd ("Laced Ltd") and Laced Europe Trading B.V. ("Laced BV”). Laced Ltd is a limited liability company incorporated under the laws of England and Wales with company number 09541333 and located at 7 Bell Yard, London, WC2A 2JR. Laced BV is a limited liability company incorporated under the laws of the Netherlands with company number 89435451 and VAT identification number NL864981995B01, with its address at Zuiddijk 412, Unit 1.04, 1505 HE, Zaandam, the Netherlands. Laced Ltd and Laced BV are jointly referred to as ("Laced", "we", "us", or "our"). A third-party seller or buyer can contact us either at the e-mail address set out in other locations of these Marketplace Terms and Conditions, or at help@laced.com.

Set up of transaction. On the Marketplace, Laced real-time matches offers from third-party buyers to purchase products from third-party sellers. Once a buyer indicates that it wishes to purchase a product from a seller, Laced will purchase such product from the seller and subsequently selling such product to the buyer. As such, when using the Marketplace Laced will always be the buyer in transactions with sellers, and Laced will always be the seller in transactions with buyers. Note that any purchase that is made by Laced is subject to the buyer actually executing the purchase of the product, and any sale that is made by Laced is subject to the seller actually executing the sale of the product (as Laced is dependent upon both seller and buyer actually fulfilling their obligations).

Laced Ltd or Laced BV? As the Marketplace is operated jointly by Laced Ltd and Laced BV we want to explain to you who will be your contractual counterparty. Laced Ltd is aimed at sellers that have their residence within the UK. Laced BV is aimed at sellers that have their residence outside of the UK. Therefore, the place of residence of the seller determines which Laced entity will act as purchaser (and subsequently as seller) of the item concerned. If you are located within the UK (as a seller), your agreement will be with Laced Ltd and as buyer of that item (regardless of your place of residence), your agreement will also be with Laced Ltd. If you are located outside of the UK (as a seller) your agreement will be with Laced BV and as buyer of that item (regardless of your place of residence), your agreement will also be with Laced BV.

About these Terms. These Marketplace Terms and Conditions, our returns and refunds policy, privacy policy, ("Policy" or "Policies"), website terms of use and all other requirements posted on our Website (collectively, “Terms”) describe the terms and conditions on which we make the Marketplace available to you and grant access to our Website to you (either as a buyer or seller) ("you" or "your"), whether as a guest or a registered user.

Your privacy is important to us. We will collect and process personal data in accordance with our privacy policy, which is available here

Your use of the Marketplace will be subject to accepting these Terms. By using our Marketplace and the Website it is deemed that you accept and agree to be bound and that you will comply with these Terms in full. If you do not agree to these Terms, do not use our Marketplace or the Website. Please read the Terms and our Policies carefully before proceeding to use our Marketplace and the Website.

Changes to Terms and Policies. We may amend these Terms and our Policies at any time, but if we do, we will place a notice on our Website. We may also send you an email and/or notify you by some other means. Any changes made to these Terms will take effect on the date set out at the end of these Terms and will apply for any future use of the Marketplace by you. You should therefore check these Terms regularly, and particularly on each occasion before you buy or sell any items, so that you are aware of any changes that may affect you. If you continue to use the Website and/or the Marketplace after we change these Terms, such use will constitute your acceptance of the changes to these Terms. If you do not agree to any of the changes we make, you must deactivate your account and no longer use the Marketplace or the Website.

Who may use the Marketplace. It is our intention that only individuals of at least 18 years of age or corporations use the Marketplace and/or Website. Your use of the Website and Marketplace is deemed confirmation that you meet this requirement unless you are under the age of 18, in which case your use of the Website and Marketplace is deemed confirmation that you have received permission from your parent or guardian before using the Website and Marketplace.

Your relationship with us. Laced provides the Marketplace to allow third-party buyers to purchase items and third-party sellers to offer items for sale. Even though Laced (see under 1.c) is the contractual counter party of each buyer and seller. Laced is not involved in the setting of prices - these are set entirely at the relevant seller's discretion. Buyers should therefore be aware that items offered for sale on the Marketplace may be available for purchase elsewhere at lower prices. The contract formed at the completion of a sale for the items offered for sale on the Marketplace is solely between Laced (see under 1.c and the seller of the item and, separately, Laced (see under 1.c and the buyer of the item. Please see sections 5 to 8 which set out the process for buyers should your transaction not proceed smoothly - including the right to cancel the contract, request refunds and returns, and submit complaints. By using the Marketplace to sell an item, the seller separately contracts with Laced, whereby Laced purchases the item from the seller, but only when a third-party buyer offers to purchase the item. By using the Marketplace to buy an item, the buyer separately contracts with Laced, whereby Laced resells the item it purchased from the seller to the buyer. The item is being transferred from seller to Laced and from Laced to buyer; and all of these transactions are subject to these Terms. Note that any purchase that is made by Laced is subject to the buyer actually executing the purchase of the item and any sale that is made by Laced is subject to the seller actually executing the sale of the item (as Laced is dependent upon both seller and buyer actually fulfilling their obligations).

International users. If you live in a country other than the UK or the Netherlands, please refer to the country specific terms at the end of these Terms which set out how the terms are amended depending on the territory in which you reside, since unfortunately not all legislation that is applicable to you is the same throughout the European Union or elsewhere in the world. - Accounts and using the Marketplace

Setting up an account. Sellers must create an account to sell items on the Laced platform by providing certain information such as first and last name, contact details and billing address. Buyers are encouraged to create an account (for easy access in case of subsequent purchases as well as having your purchasing history available to you), however, buyers may also purchase as a guest without setting-up an account, provided that guests accept these Terms. If you are selling using the Marketplace, we may also require additional forms of identification such as a driving licence, passport or identity card. You must provide accurate information about yourself when you create your account or if you purchase as a guest and you must not use any false details. You must keep your account details (including passwords) safe.

Deactivating your account. You may deactivate your account at any time by emailing privacy@laced.com and requesting that your account be deactivated. Please include “account deactivation” in the subject line of the email.

Account security. You must notify Laced immediately if you know or suspect that your password has been compromised or your account has been used in an unauthorised way. You may be held liable for losses incurred by Laced or any other person due to another person using your account or password. You may not use any other user's account or password at any time without the express permission and consent of the holder of that account or password.
Information for sellers

Sellers' status as an individual. If you use our Marketplace, you declare that you are (1) an individual who does not act in a professional capacity or (2) an individual that acts in a professional capacity; or that you will use the Marketplace as a corporation. If you declared that you are a private individual and subsequently start acting in a professional capacity and/or as a VAT taxable person, you are required to inform us thereof, in which case you need to comply with the terms and conditions that are applicable to parties acting in a professional capacity, otherwise we may refuse to accept your use of our Marketplace or Website. If you misrepresent your status, then you may be subject to sanctions according to applicable law.

Professional users and corporations.
Application of margin scheme: If you are an individual who acts in a professional capacity or a corporation, you can apply the ‘margin scheme’ for the calculation of VAT in case the items sold by you are ‘second hand’ (but unused) goods. The margin scheme cannot be applied to your sale if you purchased the item in a B2B transaction, whereby you recovered the VAT on the purchased item, and are now reselling that item.
In short: the VAT margin scheme applies to sales of second hand goods made by resellers who purchased the second hand item from an individual that did not reclaim the VAT on his own purchase or by sellers who purchased the second hand good from another reseller under the margin scheme. Under the margin scheme, the reseller has to account for VAT on the difference between the ‘sales price’ and the ‘purchase price’ of the second hand item, as opposed to the full sales price. The amount of VAT due under the margin scheme may not be specified on the invoices issued in your name. The margin scheme does not apply to (second hand) goods originating from outside the EU for sellers with their residence within the EU and to goods originating from outside the UK for sellers with their residence within the UK. If you cannot apply the margin scheme: If you are an individual that acts in a professional capacity or a corporation that cannot apply the margin scheme for reasons set out above, then you may need to apply the regular VAT rules on the sale of the item.

What items can you list for sale? You may list any of the footwear items that appear in our dropdown list or search. If the product you are looking to list does not appear you can contact products@laced.com.
Items sold on the Marketplace must always be customs cleared in the relevant jurisdiction where they are physically located. If you are a seller located in the UK, you can only sell items that are physically located in the UK (irrespective of the location of the buyer). If you are a seller located in the EU, you can only sell items that are physically located in the EU (irrespective of the location of the buyer).

What condition do the items need to be in? All items must be in brand new condition - i.e. in the original packaging, unworn and in perfect condition including any extras that came with the item (for example spare laces or accessories).

How do you list an item for sale? Once your account is set up, you may begin to list items to sell. You must select the item you wish to sell, along with the size and a listing price. You are fully responsible for ensuring that all information you provide about a listed item is accurate. Once you are happy with your listing, it will appear in your account as a listed item and we will provide a calculation of the amount that you receive including a breakdown of the fees and charges (which will be deducted by Laced from the listing price that you receive, such as any admin fees, fees payable on the list price and shipping costs as listed at section 2.i). Listed items will appear on our Website, anonymously and will be available for buyers to purchase (and, when a buyer purchases the listed item, Laced will purchase such item from the seller and subsequently sell such item at the listing price to the buyer). If more than one seller has listed the same item, the items will be listed in order from lowest price to highest price (or the items may be listed in an order defined by another method, provided that Laced has listed the method in which items are ordered on its Website).

What fees apply for listing an item for sale?
When you list an item for sale on the Marketplace and the item is sold by Laced to a buyer, you receive the sales price for the item paid by the buyer to Laced minus the following deductions:
- 12% handling costs;
- 3% payment costs;
- a minimum of €9.99 (for European Union) or £6.99 (for UK) shipping costs (please note the shipping cost you incur may differ depending on the territory in which you reside);
- (if applicable) customs duties and import VAT; and
- (if applicable) VAT and sales taxes due on the sale by Laced to the buyer
Laced may also require the buyer to pay the fees as set out in section 2r.

What happens once your item is "sold"? We will send a notification to advise you that your item was sold. We will provide you with a shipping label in our notification in order to send the items to us for inspection. You have 2 business days from the date of the notification to send the item to us. When shipping the item to Laced, please remember to mark your item as shipped from within your Laced account by clicking here.
If the items arrive after this time and if the initial sale to the buyer has been cancelled, Laced reserves the right to inform the seller that it is retaining the item for a future sale on the seller's behalf. Laced may also return the item to the seller at the seller’s cost in such case.

How does the inspection process work? Once you have shipped the item to Laced, our quality control team will visually inspect the item and use commercially reasonable efforts to confirm it is authentic and meets our condition standards. If Laced determines the item meets our quality and condition standards, Laced will ship the item to the buyer.

What happens if the items don't pass the inspection? If Laced, acting reasonably, cannot confirm the authenticity of the item or determines it is not authentic or does not meet our quality and condition standards, then we will notify the buyer and the seller that the item has not passed authentication and we will terminate both agreements and issue a refund to the buyer. We will charge the seller an administration cost as a result of the item failing to pass the inspection. Items that do not pass the inspection will either be returned to the seller or can be destroyed (depending on the choice of the seller), in each case at the seller’s cost and subject to an administration charge of €15 (for an items purchased by Laced BV) or £15 (for an item purchase by Laced Ltd) being levied for retaining the item or processing the return.

Laced has the right to reject any item for any reason. This includes, and is not limited to, authenticity, failure to meet our quality and condition standards or damage to the item and is at Laced's sole and absolute discretion.

How long does it take to inspect the item? Once we receive the item from the seller it generally takes 2 business days for us to inspect the item and ship it to a buyer. This can be longer during busy periods but will not generally exceed 3 business days.

When will the seller be paid for the item and how and when will Laced be paid? If our inspection and authentication process is successful, the item will then be shipped by Laced to the buyer. Unless otherwise stated by Laced, the amounts to which Laced is entitled, as set out in section 2.i), will be retained by Laced. The seller will receive payment for the sale, which will be the listing price of the item minus the amounts to which Laced is entitled, as detailed at section 2.i) within 3 business days from the day the item is shipped to the buyer (but Laced will not be responsible if payment is delayed beyond our reasonable control). Laced will also provide the seller with a sales invoice including a breakdown of the amount that it receives and the VAT treatment applicable to its sale (all based on the information provided by the seller to Laced). As set out in section 3.a), sellers themselves are solely responsible for paying all VAT they are liable for on these invoices issued by Laced on behalf of the seller. Similarly, the seller is solely responsible for filing correct VAT returns, EC Sales Listings and other filings as required by law and meeting any other legal requirements for VAT purposes.

What happens if a buyer cancels the contract or requests a return and/or refund? Laced will assess the cancellation and/or return or refund request and will notify the seller of such. If the buyer has the right to cancel and return the item in accordance with these Terms, Laced will process the refund and be entitled to reclaim from the seller or charge the seller for the amount due plus the cost of returning the item to the seller (if applicable). We may not return the item to the seller and instead retain possession of the item while we wait for an alternative buyer to whom we will sell the item (and in which case Laced is entitled to offer such item for sale by itself on the Marketplace).
Information for buyers

How and when do you pay for the item? Payment for the item is made via a third-party payment provider (Stripe) and payment is taken at the time you click “confirm order” during the checkout process. When you click “confirm order” you, as the buyer, are making an offer to Laced, for Laced to purchase the item from the seller, which Laced can accept or reject at our sole discretion if the seller will not actually sell the item to us. If the order is confirmed, you will receive a confirmation email.

What fees apply for buying an item offered for sale?
When you purchase an item using the Marketplace, you have to pay the listing price for the item. In addition to this listing price, Laced may charge you the following:
- a 3% foreign exchange charge (only due if you wish to pay for an item in a different currency compared to the one in which the item is offered for sale); and
- a minimum €13.99 (in the European Union) or £9.99 (in the UK) shipping charge (please note the actual shipping charge you incur may differ depending on the territory in which you reside); and
- a processing fee may apply, based on your transaction amount; and
- (if applicable) customs duties and import VAT

What happens once you've purchased an item? We will keep you up to date by emails letting you know when the seller has sent the item for inspection, once we have received the item for inspection and the outcome of the inspection.

What if the item fails the inspection? We let you know the reasons why the item has failed and we will issue you with a full refund for the item (which may take between 5 to 10 business days to process) to the original payment method you used. We will let you know by email when a refund has been processed so you are always informed.

What happens if you don't receive an item and the indicated delivery date has passed? If a buyer does not receive an item and the indicated delivery date has passed, the buyer must promptly report the issue to Laced within 2 days of the latest indicated delivery date. After the 2-day window has passed, Laced is no longer responsible for the undelivered item, so we suggest reaching out to the carrier provider directly for additional help.

What happens if you think an item is counterfeit once you've received it? If you receive an item that you believe to be counterfeit, you must notify Laced in writing within 14 business days after receiving the item, and we will begin an investigation into the item. Note that, if applicable law within the country in which you reside permits a longer period for you to notify us, then you are entitled to notify us within such longer period. We may ask you for your assistance and cooperation in the investigation, which may include providing photographs and other evidence of the item, and/or delivering the item back to us, once we have received the item back we will issue a full refund (which may take between 5 to 10 business days to process) to the original payment method you used (provided that the item is indeed a counterfeit product).

Can you change your mind about an item? You have a right to change your mind about an item, return an item and receive a refund as set out by applicable law. Of course this right exists only to the extent that the item in question is unused. Please see the buyer’s cancellation rights in section 7 and our returns and refunds policy in section 8 below for further information.

What happens if the packaging is damaged? If you receive the product but the packaging is damaged, you must send us photographic evidence as soon as reasonably practical and without undue delay to help@laced.com - this is important if you subsequently change your mind and wish to return the items (as you may not receive the full refund if you return the items and did not notify us of the damaged packaging).

What happens if you have not received the item and the item shows as being delivered? If the item shows as having been delivered but you have not received it, in the first instance please contact the carrier to determine the whereabouts of your parcel. If you are unable to resolve the issue with the carrier then you should contact us to let us know of the issue. We will then advise you on the next steps which may include us raising an investigation with the parcel carrier.

Items may vary from the photographs on the Website. Due to photographic lighting and different devices used to view the displayed product, the colour you see may vary slightly from the actual colour of the product. Similarly, other slight variations may occur between the product displayed and the actual product.
- Fees and taxes

Sellers: Sellers are responsible for paying all VAT you are responsible for and agree to collect, pay, report and remit any and all other applicable local, import or sales taxes that may be due by you with respect to your sales transaction to us. As a seller, you grant Laced the right to issue a self-billing invoice addressed to Laced with respect to your sale to us.
If you are a seller:
- who applies the VAT margin scheme to your sale to Laced; or
- who does not apply VAT to its sale to Laced because the sale is made as a private individual;
you must provide Laced will all required information in order for Laced to apply the correct VAT margin scheme.
As a seller, you are solely responsible for filing correct VAT returns, EC Sales Listings and other filings as required by law and other legal requirements for VAT purposes.

Sellers and buyers: the amounts mentioned in these Terms may need to be increased by Laced by the value of VAT if that were to be applicable to your situation.

Sharing of tax-relevant information about sellers. All sellers grant Laced the right to collect, validate, retain, process and/or share (with for example tax authorities) sellers' data to the extent necessary or useful to Laced in order to comply with its legal obligations (including but not limited to DAC7 and the application of the VAT margin scheme by Laced). Such sellers are aware that DAC7's data sharing obligations apply to their sales of items through the Website, and therefore data about the sellers and their sales will be collected, validated, retained, processed and/or shared by Laced or a related group company. Furthermore, sellers will provide such information to Laced as Laced deems useful or necessary in order to comply with its legal obligations (e.g. under DAC7). Upon such sellers' request, Laced will notify sellers of the aforementioned collected, validated, retained, processed and/or shared data, unless Laced or a related group company is prohibited by law from making such notification. Sellers further agree that Laced may share information regarding DAC7 with such sellers at the email address known to Laced from such sellers.

Buyers: Buyers agree to pay any and all local, import or sales taxes (including VAT) that may be due by you with respect to your purchase transaction. You agree that Laced is not responsible for reporting, collection or payment of any taxes on your behalf.
- Counterfeits, fraud, and market manipulation
Laced takes pride in ensuring that no counterfeit items are sold on the Marketplace and takes counterfeiting, fraud and market manipulation very seriously. If we believe that a seller is attempting to sell counterfeit items or is attempting to defraud any buyer or Laced, we reserve the right to do any or all of the following, in our sole and absolute discretion:
- remove any or all of the seller's listings from the Marketplace;
- cancel any or all of the seller's orders pending through the Marketplace;
- withhold any payments due to the seller;
- place limits on the seller's buying and selling privileges;
- charge the seller's Laced account for costs, expenses and fees incurred by Laced as a result of the seller's action or inaction, including charging the seller for the cost of replacement items, the value of coupons and gift certificates provided to the buyer, reprinting fees incurred by Laced, rerouting charges imposed by carriers, and refunds to the buyer;
- ship the item back to the seller at the seller's cost (including any customs and duties amounts incurred by Laced);
- provide the counterfeit items to law enforcement bodies or destroy the counterfeit items;
- temporarily or permanently suspend the seller's account; and/or
- charge the seller’s Laced account a minimum of €15 (if Laced BV is the counterparty) or £15 (if Laced Ltd is the counterparty) or an amount up to 85% of the transaction amount, in Laced’s sole discretion, as an administration fee.
- Laced reserves the right, in its sole and absolute discretion, not to provide:
- the proceeds of a sale to the seller; and
- a refund to a buyer,
in the event that Laced reasonably believes that the seller and/or buyer has acted fraudulently or colluded with others to sell or purchase items in a fraudulent manner.

If you have bought an item that you believe to be counterfeit, you must notify Laced in writing in accordance with section 2.v) above.
Laced may monitor the integrity of and take such steps as are necessary as determined by Laced in its sole and absolute discretion to protect the Marketplace (including if Laced believes a seller or buyer is engaging in market manipulation). If Laced believes that a seller or buyer is attempting to interfere with the fair process of the Marketplace, then, without limiting any other rights of Laced, Laced reserves the right to do any or all of the following, in its sole and absolute discretion:
- remove any or all of the user's listings from the Marketplace;
- cancel any or all of the user's orders pending through the Marketplace;
- withhold any payments due to the user;
- place limits on a user's buying and selling privileges;
- charge user's Laced account for costs, expenses and fees incurred by Laced as a result of the user's actions;
- notify law enforcement bodies of the fraudulent activity;
- temporarily or permanently suspend the user's account; and
- charge the user's Laced account an additional service fee to cover professional fees incurred and any losses suffered by Laced related to any investigation fees and other related costs and expenses.
- Legal stuff and general terms

Intellectual property ownership. We are the owner or the licensee of all intellectual property rights in our Website, and in the material published on it. All images are protected by copyright laws and treaties around the world.

Indemnity. To the extent allowed by applicable law, you agree to indemnify, defend and hold Laced and our affiliates and their respective officers, directors, agents and employees harmless from and against all claims, demands or other proceedings, and resulting loss, damage, liability, costs, interest and expenses (including reasonable legal costs) brought by any third party in connection with:
- your listing or the sale of any counterfeit, stolen, or illegal items;
- your breach of any of the Terms;
- your improper use of the Marketplace;
- your violation of any law or the rights of a third party; or
- tax obligations or amounts due or owing by you under any tax regulation or law.
We reserve the right to assume the exclusive defence and control of any matter subject to the above indemnity given by you, and such indemnity obligations stated above will survive termination of these Terms.
- Our limits of liability and responsibility to you.
- We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen, for example, if you discussed it with us during the sales process.
- We do not exclude or limit in any way our liability to you where it would be unlawful to do so.This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the items (including the right to receive items which are: as described and match information we provided to you and any sample or model seen or examined by you; of satisfactory quality; fit for any particular purpose made known to us; supplied with reasonable skill and care and for defective items subject to consumer protection laws that apply in the country where the buyer lives).
- We are not liable for business losses. We only supply the items for domestic and private use. If you use the items for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
- Professional users and corporations. If you are a corporation or an individual who acts in a professional capacity, the aggregate liability of Laced in respect of all claims under and/or related to your use of the Marketplace and/or the Website, regardless of the grounds thereof, shall per calendar year be limited to the lesser of (i) the amounts in commissions and costs paid by you to Laced in the relevant calendar year, or (ii) EUR 10,000 (ten thousand euro) or the equivalent in GBP if you are resident in the United Kingdom.
- Technical or typographical errors on our Website. The Website and the Marketplace may contain or include technical inaccuracies or typographical errors. Laced will not be liable for any losses in connection with any such inaccuracies or errors, and Laced does not have any obligation to identify and/or correct any such inaccuracies or errors.
- Links to other websites. If any links to third-party websites are provided, (“Linked
Websites”), such Linked Websites are not sponsored or endorsed by Laced. The responsibility for the availability, accuracy, content, or any other aspect of the Linked Websites will be solely with the third parties who run the Linked Websites. Laced will have no responsibility and disclaims all responsibility for the availability, accuracy, content, of the Linked Websites, for all access to and use thereof, and for use of the links to or any other aspect of the Linked Websites.
- Disclaimer of third-party information. If any information or material on the Marketplace is provided by third-party content providers (“Third-Party Materials”), Laced has no editorial control or responsibility over such Third-Party Materials. Any opinions, statements, items, Marketplace or other Third-Party Materials are those of the applicable third party and we have no responsibility for such.

Apple App Store and Google Play. Where you download the Laced applications (the "Application") via the Apple app store (“Apple App Store”) or via Google’s Google Play (“Google Play”), you will be subject to the specific Apple App Store or Google Play terms (as applicable), governing your use of the Apple App Store or Google Play.

We cannot be held responsible for events that happen outside of our control. This includes delays in shipping the items to a buyer. We will contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won't compensate you for the delay, but if the delay is likely to be substantial you can contact our Customer Service Team who will try to find a suitable resolution.
- No other terms will apply to the contract you have with us. These Terms and all Policies posted through our Marketplace (as each may be amended from time to time) constitute the entire agreement between you and Laced relating to your use of our Marketplace, and supersede all prior understandings and agreements between you and us.
- How we will contact you. If we need to contact you, we will use the email address that you provided when you set up an account, or on checkout as a guest.
- Nobody else has any rights under these Terms. These Terms are between you (whether as a buyer or seller) and us. Nobody else can enforce these Terms and neither of us will need to ask anybody else to sign-off on ending or changing these Terms.
- If a court invalidates some of these Terms the rest of them will still apply. If a court or other authority decides that some of these Terms are unlawful, the rest will continue to apply.
- We can transfer our contract with you at any time. Laced may assign or transfer our rights and obligations under these Terms at any time. We'll tell you in writing if this happens and ensure that the transfer won't affect your rights under the contract. You can only transfer your contract with us with our prior agreement.
- You may not enter into any contract on our behalf or bind us in any way. These Terms are for your benefit only, not for the benefit of any third party of yours.
- What law governs these Terms? That depends on your place of residence. If you have your normal place of residence outside of the UK, then these Terms are governed by the laws of the Netherlands and any disputes that arise out of or in connection with these Terms, the Website or the Marketplace may be submitted to the competent court in Amsterdam. However, once we notify you that we wish to initiate a procedure against you in Amsterdam, you can indicate (within one month after our notification) that you wish for a procedure to be commenced against you before the court where you have your habitual residence. If you have your normal place of residence within the UK, then these Terms are governed by the laws of England and Wales and any disputes that arise out of or in connection with these Terms, the Website or the Marketplace are governed exclusively by the courts of England and Wales.

Mediation if you reside outside the UK. In the event of a dispute which we are unable to resolve amicably, you may have free recourse to the mediation service and for all complaints made in writing to our Customer Service Team within the last year and which have not been resolved to your satisfaction.

Mediation if you reside within the UK. In the event of a dispute which we are unable to resolve amicably, you agree to enter into mediation in good faith to settle such a dispute and will do so in accordance with the Centre for Effective Dispute Resolution (“CEDR”). Unless we both agree otherwise within 14 days of the ADR notice (defined below), the mediator will be nominated by CEDR. To commence the mediation either you or us must give notice in writing (“ADR notice”) to the other, referring the dispute to mediation, and a copy of the referral should be sent to CEDR.
Unless otherwise agreed between us, the mediation will start not later than 28 days after the date of the ADR notice. We would prefer, and politely request, that you do not commence court proceedings in relation to any dispute between us until we have attempted to settle the dispute by mediation and either the mediation has failed.

Disputes. If mediation fails, you may bring the dispute before the competent courts as set out in these Terms.
- How we handle complaints.
Our Customer Service Team will deal with complaints you may have about the items you have purchased (if you are a buyer), about the Marketplace or about issues with the Website. You can contact our Customer Service Team by emailing us on: help@laced.com. They will try to resolve any problems you have with us or the items sold via the Website and aim to be in touch within 2-3 business days from receiving your complaint, if not sooner. Our Customer Service Team operates during the hours of 9am-6pm Monday to Friday, closed on the weekends and public holidays (in UK).
- Buyer's cancellation rights.
As a buyer, you have a right to cancel your purchase under certain circumstances:
- Cooling off period. Where you have purchased the items, please note that you are entitled to cancel any contract completed with us within 14 days from the day after the day on which you acquire physical possession of the items. You will then be required to use the returns label provided by us to you (see section 8.a below) to return the items that are the subject of the cancelled contract to us within 14 days from the day after you notify us that you wish to cancel the contract. However, if you cancel the contract within the cooling off period without initiating a “fault return” and return an item that in Laced's sole and absolute discretion is faulty, you may not be eligible for a full refund. If you have a faulty item you should issue a fault return pursuant to section 7.b
- Faulty items. f what you have bought is faulty or misdescribed you may have a legal right to end the contract with us (or to get the item repaired or replaced or to get some or all of your money back). Under such circumstances, you have 30 days (or depending on the country of your residence, possibly a longer term) from the day after the day on which you acquire physical possession of the items to notify us that you are cancelling the contract.
If your item is faulty, you should initiate a fault return by contacting Customer Service Team - at help@laced.com. A member of our Customer Service Team will then contact you and you may be required to provide photographic evidence so that we can assess whether the item is faulty. If, based on the evidence provided, we consider that the item may be faulty and requires further inspection by us, we will provide an insured return shipping label at the cost of €13.99 or €19.99 (if Laced BV is your counterparty) or £8.99 (if Laced Ltd is your counterparty) for the item to be returned to us (which will not be deducted from your refund if the item is found to be faulty). Once we receive the item we will complete a further check to validate that the item is faulty, not a counterfeit and has not been overworn, misused or any other reason which would invalidate the fault return. The assessment of whether the item is faulty, counterfeit, overworn or misused will be done by Laced’s best judgement and effort.
If we consider the item is:
- faulty and the fault return has been initiated within 14 days (or depending on the country of your residence, possibly a longer term) from the day after the day on which you acquire physical possession of the item, we will issue you with a full refund;
- faulty and the fault return has been initiated after the 14 day period (or depending on the country of your residence, possibly a longer term) from the day after the day on which you acquire physical possession of the item, we may (in our reasonable judgement) issue you with a full or partial refund, or repair or replace the item; and
- not faulty, we will return the items back to you.

Other cases of cancellation: You also have the right to cancel the contract between you and Laced under the following circumstances and within 30 days (or depending on the country of your residence, possibly a longer term) after arising of these circumstances:
- we have told you about a change to the item being purchased which you do not agree to;
- we have told you about an error in the price or description of the item you have ordered and you do not wish to proceed;
- there is a risk that supply of the items may be significantly delayed because of events outside our control;
- we have suspended supply of the items for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than 30 days; or
- you have a legal right to end the contract because of something we have done something wrong.

Buyers have the following refund and return rights:
Returns
- Returning items after ending the contract during the cooling off period. If you are exercising your right to change your mind (see section 7.a) above), you must return your order back to us. We will provide an insured return shipping label at the cost of £8.99 (if Laced Ltd is the seller) or, €13.99 or €34.99 (if Laced BV is the seller); this will be deducted from your refund. Please email Customer Service Team at help@laced.com within 14 days from the day after the day on which you acquire physical possession of the items to confirm you are cancelling the contract and we will provide to you a return label. Alternatively, you may choose your own courier to return the goods to us, at your own cost; however, if the goods fail to be delivered to us or are returned to us damaged then we will not issue you with a refund. If you are exercising your right to change your mind you must send off the goods within 14 days of telling us you wish to end the contract. However, if you are exercising your right to change your mind (see section 7.a above) without initiating a fault return and return an item that in Laced's sole and absolute discretion is faulty, you may not be eligible for a refund. If you have a faulty item you should issue a fault return pursuant to section 7.b.

Returning items after ending the contract due to faulty items. If there is either an issue with your order or your item is faulty and you have initiated a fault return which our team has considered and decided that your item may be faulty (see section 7.b) above in both cases), you must return your order back to us. We will provide an insured return shipping label at the cost of £8.99 (if Laced Ltd is the seller) or, €13.99 or €34.99 (if Laced BV is the seller); which will not be deducted from your refund. Please email Customer Service Team at help@laced.com within 30 days from the day after the day on which you acquire physical possession of the items to confirm you are cancelling the contract due to an issue with your order or because your item is faulty and, if applicable, provide evidence of the faults to the items (which our team will consider to provide an initial assessment of whether the item is faulty). If you are entitled to cancel the contract under such circumstances as listed in section 7.b above, we will provide to you a return label. You must send off the goods within 14 days of us receiving the return label to be eligible to receive a refund.

Eligibility. To be eligible for a return, your item must be unused and in the same condition that you received it. It must also be in the original box and packaging and the Laced tag must still be attached to the item.

Evidence of purchase. To complete your return, we require a receipt or proof of purchase, such as a receipt or order confirmation.
- When will we pay the costs of return? We will pay the costs of return:
- if the items are faulty or misdescribed; or
- if you are ending the contract because we have told you of an upcoming change to the item or these Terms, an error in pricing or description, a delay in shipping due to events outside our control or because you have a legal right to do so as a result of something we have done wrong.
In all other circumstances (including where you are exercising your right to change your mind) you must pay the costs of return.

Return shipping costs. If we are to pay for the costs of return, the cost of return shipping will be deducted from your refund. We will also not provide a refund of customs duties and import VAT (if applicable).
Refunds (if applicable)
- How we will refund you. Once your return is received and inspected, we will send you an email to notify you that we have received your returned item. We will also notify you of the approval or rejection of your refund, which is at our reasonable judgement. For example, if we discover that the returned items are not the items originally delivered, the items are damaged or not in the same condition as when delivered to the buyer, or if the tag is removed (except where the item becomes faulty), then no refund will be used. If approved, then your refund will be processed, and a credit will automatically be applied to your credit or debit card or original method of payment, no later than 14 days after the day on which we received the returned items (or if we haven’t yet dispatched the items to you, 14 days after the day on which you informed us of the cancellation). Please note that if you are returning a faulty item, you may not receive a full refund if you initiated the fault return after the 14 day period from the day after the day on which you acquire physical possession of the item. In such an instance, we may either replace or repair the item, or issue a partial refund instead of a full refund, at our reasonable judgement.
- Shipping refunds: We are unable to refund shipping costs when returning an item. Any shipping costs paid will be deducted from your refund. Unless we agree to pay the costs for returning the item as set out in section 8.e above.
- Late or missing refunds (if applicable). If you haven’t received a refund yet, first check your bank account, and then we recommend you first contact your credit card company or bank. If you’ve done all of this and you still have not received your refund yet, please contact us at help@laced.com.
- Taxes, customs and duties. For orders shipped internationally, you will not be refunded any import VAT, taxes, duties, charges or delivery costs you may have paid when placing your order. However, you may be able to recover these by contacting your local customs bureau.

References to any sections or paragraphs are references to such sections of the Terms above.
For French Residents

2.j) What happens once your item is "sold"? We will send a notification to advise you that your item has sold. Once collected, please remember to mark your item as shipped from within your Laced account by clicking here.
If the items arrive after this time and if the initial sale has been cancelled, Laced reserves the right to inform the seller that it is retaining the item for a future sale on the seller's behalf. If the seller refuses, Laced will return the item to the seller at the seller's cost.

2.l) What happens if the items don't pass the inspection? If Laced cannot reasonably confirm the authenticity of the item or determines it is not authentic or does not meet our quality and condition standards, we will notify the buyer and the seller that the item has not passed authentication by providing the consumer with the reason for the refusal and we will issue a refund to the buyer. We will charge the seller an administration cost for failing to pass the inspection. Items that do not pass inspection will be returned to the seller, in each case at the seller's cost and subject to an administration charge of 15 € being levied for retaining the item or processing the return.

2.m) Laced has the right to reject any item for a legitimate reason. This includes, but is not limited to, authenticity, failure to meet our condition standards or damage to the item.

2.p) What happens if a buyer cancels the contract or requests a return and/or refund? Laced will assess the cancellation and/or return or refund request and will notify the seller of such. If the buyer has the right to cancel and return the item in accordance with these Terms, Laced will process the refund and be entitled to reclaim from the seller or charge the seller for the amount due plus the cost of returning the item to the seller (if applicable) - for practical reasons, we may not return the item to the seller and instead retain possession of the item while we wait for an alternative buyer to whom we will sell the item.

2.q) How and when do you pay for the item? Payment for the item is made via a third-party payment provider (Stripe) and payment is taken at the time you click “confirm order” during the checkout process. You can pay with the following methods: debit / credit card and Apple or Google Pay via Stripe. When you click “confirm order” you, as the buyer, are making an offer to Laced to purchase the item from the seller, which seller may reject for a legitimate reason such an evident mistake with the price or size in which case the order will not be accepted, and no purchase will occur. If the order is confirmed, you will receive a confirmation email thereof.

2.x) What happens if the packaging is damaged? If you receive the product but the packaging is damaged, you must send us photographic evidence as soon as reasonably practical and without undue delay to serviceclient.fr@laced.com - this is important if you subsequently change your mind and wish to return the items.

4. Counterfeits, fraud, and market manipulation
Laced takes pride in ensuring that no counterfeit items are sold on the Marketplace and takes counterfeiting, fraud and market manipulation very seriously. If a seller is attempting to sell counterfeit items or is attempting to defraud any buyer or we reserve the right to do any or all of the following:
- remove any or all of the seller's listings from the Marketplace;
- cancel any or all of the seller's orders pending through the Marketplace;
- withhold any payments due to the seller;
- place limits on the seller's buying and selling privileges;
- charge the seller's Laced account for costs, expenses and fees incurred by Laced as a result of the seller's action or inaction, including charging the seller for the cost of replacement items, the value of coupons and gift certificates provided to the buyer, reprinting fees incurred by Laced, rerouting charges imposed by carriers, and refunds to the buyer;
- ship the item back to the seller at the seller's cost (including any customs and duties amounts incurred by Laced);
- provide the counterfeit items to law enforcement or destroy the counterfeit items;
- temporarily or permanently suspend the seller's account; and/or
- charge the seller's Laced account up to 85% of the transaction amount, depending on the seriousness of the offence as an administration fee.
- Laced reserves the right not to provide:
- the proceeds of a sale to the seller; and
- a refund to a buyer,
in the event that the seller and/or buyer has acted fraudulently or colluded with others to sell or purchase items in a fraudulent manner.
- If you have bought an item that you believe to be counterfeit, you must notify Laced in writing in accordance with section 2.u) above.
Laced may monitor the integrity of and take such steps as necessary to protect the Marketplace (including if a seller or buyer is engaging in market manipulation). If a seller or buyer is attempting to interfere with fair process of the Marketplace, then, without limiting any other rights of Laced, Laced reserves the right to do any or all of the following:
- remove any or all of the user's listings from the Marketplace;
- cancel any or all of the user's orders pending through the Marketplace;
- withhold any payments due to the user;
- place limits on a user's buying and selling privileges;
- charge user's Laced account for costs, expenses and fees incurred by Laced as a result of the user's actions;
- notify law enforcement of the fraudulent activity;
- temporarily or permanently suspend the user's account; and
- charge the user's Laced account an additional service fee to cover professional fees incurred and any losses suffered by Laced related to any investigation fees and other related costs and expenses.

5.b) Indemnity. According to the applicable legal provisions, you may be required to indemnify and/or hold Laced and its affiliates, and their respective officers, directors, agents and employees, harmless from any third party claim relating to:
- your listing or the sale of any counterfeit, stolen, or illegal items;
- your breach of any of the Terms;
- your improper use of the Marketplace;
- your violation of any law or the rights of a third party; or
- tax obligations or amounts due or owing by you under any tax regulation or law.
The section 5.i) is not applicable.

5.p) What law governs these Terms? These Terms are governed by French law and the place of jurisdiction for any dispute arising out of or relating to these Terms, the Website or the Marketplace shall be the defendant's domicile or, at the plaintiff's option, the place of actual delivery of the item.

7.a) Cooling off period. If, based on the evidence provided, the item may be faulty and requires further inspection by us, we will provide an insured return shipping label at the cost of €13.99 for the item to be returned to us (which will not be deducted from your refund if the item is found to be faulty). Once we receive the item, we will complete a further check to validate that the item is faulty, not a counterfeit and has not been overworn, misused or any other reason which would invalidate the fault return.
If we consider the item is:
- faulty we will issue you with a full refund;
- not faulty, we will return the items back to you.
The below replaces section 8.g) to 8.i) in its entirety:
g) How we will refund you. Once your return is received and inspected, we will send you an email to notify you that we have received your returned item. For German Customers
These Terms & Conditions are modified as follows.:
1.i), j) Amended: Regardless of whether Laced Ltd. or Laced B.V. is the contractual partner (as seller) of the customer (as buyer), the German Civil Code (BGB) applies to the customer (as buyer), unless it is waived, amended, or supplemented by these Terms and Conditions.
2.a) S. 3: Reworded: For sellers, we reserve the right to request additional forms of identification such as a federal identity card, passport, or comparable document.
2.i) iii: Reworded: Shipping costs of €9.99;
2.j) para. 2: Reworded: If the item has not been received by us after two business days, and the buyer has, therefore, cancelled the order, we may retain the item for a future sale on behalf of the seller under the same conditions.

Consequences of cancellation
If you withdraw from this contract, we will reimburse you for all payments we received from you, including any delivery costs (with the exception of additional costs resulting from you selecting a form of delivery other than the cheapest standard delivery offered by us), without undue delay and, at the latest, within 14 days from the day on which we received your cancellation of this contract notification. For this repayment, we will use the same payment method that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees because of this repayment. We may refuse repayment until we have received the items back or until you provided proof that you have returned the items, whichever is earlier.
You must return or transfer the items to us without undue delay and, in any case, no later than within 14 days from the day on which you notify us of the cancellation of this contract. The deadline is satisfied if you send the items prior to the expiration of the 14-day period.
You are responsible for any direct costs to return the items.
You will have to pay only for any loss in value of the items if this loss in value is due to the handling of the items that is not necessary to check their condition, their properties, or the functionality of the items.
